About these terms

These terms apply between ZeroSpams ("we", "us") and the business that orders an installation ("you"). Your written quote sets out the product, the websites or domains covered, the price and any extra work. If the quote and these terms conflict, the quote wins. Our services are for businesses, not consumers.

What we do

• Free check: a review of your website's forms and a written recommendation. It creates no obligation for either side.
• Form protection: we install spam protection and lead intelligence on the forms named in your quote, on your own hosting.
• Mail system: we install the ZeroSpams mail system on your own hosting and connect it to your website and your email-sending account.

Each installation is a one-time project. There is no subscription, and nothing continues after handover unless you order new work.

Quotes and payment

Prices are in UAE dirhams unless the quote says otherwise, and exclude VAT, which we add where it applies. A quote is valid for 30 days. You pay as set out in the quote. We may wait for payment that is due before starting or handing over the work. The licence below starts when the full price has been paid.

If you cancel after we have started, you pay for the work done up to that point.

Your responsibilities

• Provide hosting that meets the requirements we give you, and the access we need to your hosting, website and DNS during the installation. You can remove our access when we're done.
• Open and pay for your own email-sending account (such as Mailgun) in your company's name.
• Keep backups of your website and server before and after the installation.
• Tell visitors about the processing in your own privacy policy and near your forms, and ask for consent where your visitors' law requires it. We give you suggested wording and a consent setting.
• Keep your server, website and plugins secure and up to date after handover.

Handover and fixes

When the installation works as described in the quote, we hand it over with a short guide. If you find a fault in our work within 30 days of handover, we fix it free of charge. This doesn't cover problems caused by changes made by anyone else, by your hosting or plugins, or by your email provider. After that period, and for new features, updates, moves to another server or other changes, we quote the work separately. You're not obliged to use us for it.

Licence

Once the full price is paid, we grant you a non-exclusive, non-transferable licence, with no end date, to use the installed software for your own organisation on the websites and domains named in your quote. You may change its settings, texts and templates. You may not sell, sublicense, share or publish the software or its source code, install it for other organisations, or use it to build a competing product. We may end the licence if you seriously breach these terms and don't fix the breach within 30 days of our written notice.

Data protection

The software runs on your servers, so you control the personal data it collects. We only see that data when we have access to your systems to install or fix something. When that happens we act as your processor under our data processing agreement, which forms part of these terms.

What we promise, and what we don't

We'll carry out the work with reasonable skill and care. Spam protection greatly reduces fake submissions, but no method stops every attempt, and a strict rule can occasionally block a real person. We don't guarantee that every spam message will be stopped or that every real enquiry will be delivered: email delivery also depends on your email provider and the recipient's. The software is provided as it is at handover; we don't promise future updates.

Ownership

We own the software, designs and know-how behind ZeroSpams, including improvements we make while working for you. You own your content, your enquiries and your data.

Liability

Neither side is liable to the other for loss of profit, business or goodwill, or for indirect loss. Our total liability for an installation is limited to the price you paid us for it. Nothing in these terms limits liability that the law doesn't allow to be limited.

Law and disputes

These terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. We'll first try to resolve any dispute by talking. If that fails, the courts of Dubai have exclusive jurisdiction. Questions about these terms: [email protected].
